Meeting November 7, 2009 Terry R. Pancoast, Stoel Rives, LLP, discussed the role and responsibilities involved in being a trustee. Specifically, Mr. Pancoast talked about the “duty of care” and the “duty of loyalty.” The duty of care involves attending meetings, reviewing, analyzing and understanding financial statements, and evaluating and, when necessary, questioning, reports and minutes from staff and committees. The duty of loyaltyinvolves making decisions based on what’s in the best interest of the associationand its members and not the trustee, personally.
Robert G. Gootee, President & CEO, Jay C. Lamb, Chairman of the Board, William S. Ten Pas, DMD, Sr. Vice President of the ODS Companies, and Thomas Bikales, ODS Counsel, presented a panel discussion regarding
proposed changes to the ODS Articles of Incorporation and the letter that was sent from ODS to dentists.
The ODS Children’s Program is being funded by a 1.5% withhold on OEBB patients only, not all ODS plans. If funds withheld begin to accumulate in great excess of payments, then the withhold will be curtailed until more fund are needed.
G. Jim Darke, DMD, David W. Howerton, DMD and Patrick M. Nearing, DMD were elected to four year terms (2010-2013) on the ODS Board of Directors.
G. Jim Darke, DMD and Steven M. Simmons, DMD were elected to three year terms (2010-2012) on the Dental Foundation of Oregon Board of Directors.
Michael E. Biermann, DMD; Dale E. Canfield, DMD; James C. Pilcher, DDS and Lorin W. Rice were elected to three year terms (2010-
2012) on the DBC/DMC Advisory Committee.
Dr. Barichello led a discussion on the Strategic Plan Review. A motion was made and approved to accept the ODA Core Values, Big Audacious Goal and Vivid Descriptions in the ODA Strategic Plan as revised at the September 12, 2009 strategic planning meeting.
Mr. Zepp announced a Staff Council meeting will be held at the ODA building on March 12, 2009. Component staff, ODA staff, related organization staff and the volunteer secretary-treasurers of non-staffed components are encouraged to attend to discuss how we can all work better together. ODA would like to see
representatives from all of the components. Trustees were urged to emphasize
the importance of this to their leaders.
